1. Our Services

The Services may include websites, mobile applications, AI assistants, automation tools, analytics dashboards, APIs, integrations, enterprise workflows, documentation, support, and related digital products operated by Neptune AI.

Specific products, app marketplace listings, subscriptions, beta programs, or enterprise engagements may include additional terms presented at the point of purchase or use. If additional terms conflict with these Terms, the additional terms control for that specific feature or engagement.

2. Eligibility and Acceptable Use

You may use the Services only if you can enter a binding agreement and if your use complies with all laws that apply to you.

• Use the Services only for lawful, authorized, and responsible purposes
• Comply with privacy, intellectual-property, export, sanctions, consumer-protection, and app marketplace rules that apply to your use
• Do not use the Services in a way that harms, defrauds, misleads, threatens, or exploits any person or organization
• Do not submit content or instructions that you do not have the right to provide

3. Account Registration

We may refuse registration, reclaim usernames, suspend credentials, or restrict access where security, legal, operational, or abuse-prevention reasons require it.

• Provide accurate, current, and complete registration and billing information
• Keep your login credentials confidential and promptly notify us of suspected unauthorized access
• Remain responsible for activity that occurs through your account, device, API key, or app session
• Do not transfer your account without our prior written permission

4. Intellectual Property Rights

The Services, including software, interfaces, designs, text, graphics, logos, icons, trademarks, documentation, APIs, models, workflows, and other materials, are owned by Neptune AI or our licensors and are protected by intellectual-property and unfair-competition laws.

We grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purpose and in accordance with these Terms.

Except where these Terms or law expressly allow it, you may not copy, reproduce, modify, translate, distribute, sell, lease, sublicense, publicly display, or exploit any portion of the Services.

5. User Content and Submissions

"User Content" means prompts, files, images, code, datasets, documents, feedback, messages, and other material you upload, submit, generate, transmit, or store through the Services.

• You retain ownership of your User Content, subject to the licenses and rights granted in these Terms
• You represent that you have all rights, permissions, and authority required to submit and use User Content
• You are responsible for User Content and for ensuring it does not violate law, third-party rights, or these Terms
• We may remove or restrict User Content that appears unlawful, harmful, infringing, abusive, or inconsistent with these Terms

6. Contribution License

When you submit User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, adapt, and use that content solely as reasonably necessary to provide, secure, support, improve, and operate the Services, fulfill your requests, enforce these Terms, and comply with law.

This license does not allow us to use your personal information or uploaded materials to train general-purpose AI or foundation models without your separate, explicit consent.

Feedback, suggestions, or ideas you provide may be used by us without obligation to you, provided we do not disclose your confidential information in doing so.

7. Prohibited Activities

• Scrape, harvest, or systematically extract data from the Services without written permission
• Reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, or non-public APIs except where law permits
• Bypass, disable, or interfere with security, authentication, rate limits, usage restrictions, or access controls
• Upload malware, spyware, harmful code, or content designed to disrupt systems or exfiltrate data
• Use the Services to harass, threaten, impersonate, defame, discriminate, exploit, or harm anyone
• Use the Services to generate unlawful content, facilitate fraud, violate intellectual-property rights, or breach privacy rights
• Overload infrastructure, perform unauthorized testing, interfere with availability, or disrupt another user's access
• Use outputs or Services to build a competing product where prohibited by law, contract, or applicable product terms

8. Mobile Application License

If you access the Services through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, solely in accordance with these Terms and any app marketplace rules.

You may not copy, modify, distribute, sell, rent, lease, make the app available over a network for multiple-device use, remove proprietary notices, or use the app for unauthorized purposes.

App marketplace providers may be third-party beneficiaries of this section where their terms require it.

9. Purchases and Billing

Certain Services may require payment, subscriptions, in-app purchases, usage-based fees, prepaid credits, or enterprise fees. You agree to provide accurate billing information and to pay all applicable amounts, taxes, and charges.

Prices, features, limits, and packages may change over time. Unless we state otherwise or law requires otherwise, payments are non-refundable after purchase or renewal.

If payment is handled by Google Play, another app marketplace, or a third-party processor, that provider's billing, cancellation, refund, and dispute terms may also apply.

10. Third-Party Services

The Services may link to, integrate with, rely on, or enable access to third-party websites, app stores, models, APIs, cloud platforms, analytics tools, payment processors, and communication services.

We do not control third-party services and are not responsible for their content, availability, security, policies, or practices. Your use of third-party services is at your own risk and may be governed by separate terms.

11. Advertising and Promotions

We may show information about our products, updates, subscriptions, offers, beta programs, partner integrations, or promotional materials within the Services or on our website.

Any dealings with third parties in connection with promotions, offers, or advertisements are between you and that third party unless we expressly state otherwise.

12. Privacy, Confidentiality, and AI Training

Our Privacy Policy explains how we collect, use, share, and protect personal information and is incorporated into these Terms by reference.

AI-generated outputs may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing outputs before relying on them.

• We treat customer information and User Content as confidential according to these Terms, our Privacy Policy, and applicable law
• We use reasonable safeguards designed to protect information, including access controls and encryption where appropriate
• We do not use your personal information or uploaded content to train general-purpose AI models without separate, explicit consent
• We may use aggregated, anonymized, or de-identified information for analytics, reliability, security, abuse prevention, and product improvement

13. Suspension and Termination

You may stop using the Services at any time. Where available, you may close your account through account settings or by contacting us.

We may suspend, limit, or terminate your access if we reasonably believe you breached these Terms, created a security or legal risk, infringed rights, failed to pay fees, abused the Services, or if law or platform rules require us to act.

After termination, your right to use the Services ends immediately, but provisions that by their nature should survive will continue to apply.

14. Service Modifications and Availability

We may update, modify, suspend, discontinue, or limit any part of the Services at any time, with or without notice, unless notice is required by law or a separate agreement.

We do not guarantee that the Services will always be available, uninterrupted, error-free, or compatible with every device, operating system, browser, app store, or integration.

15. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and uninterrupted operation.

AI and analytics outputs may contain errors, omissions, or unexpected results. You remain responsible for independent review, human oversight, and compliance decisions.

16. Limitation of Liability

To the fullest extent permitted by law, Neptune AI, its developer, affiliates, contractors, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the Services.

To the fullest extent permitted by law, our aggregate liability for claims relating to the Services will not exceed the greater of the amount you paid us for the relevant Service in the six months before the event giving rise to the claim or USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Neptune AI, its developer, affiliates, contractors, licensors, service providers, and representatives from claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable legal fees, arising from your User Content, your use of the Services, your breach of these Terms, or your violation of law or third-party rights.

18. Governing Law and Disputes

These Terms are governed by the laws applicable in Bangladesh, without regard to conflict-of-law rules, unless mandatory law in your jurisdiction provides otherwise.

Before bringing a formal claim, you agree to contact us and attempt to resolve the issue informally. If a dispute cannot be resolved informally, it will be handled by courts or forums with proper jurisdiction under applicable law.

19. Export Compliance

You may not use, export, re-export, transfer, or access the Services in violation of applicable export-control, sanctions, anti-terrorism, or trade-compliance laws.

You represent that you are not located in, under the control of, or a resident of a restricted jurisdiction and that you are not listed on any applicable sanctions or prohibited-party list.

20. Electronic Communications and Signatures

By using the Services, visiting our website, contacting us by email, submitting forms, or completing digital workflows, you consent to receive communications from us electronically.

You agree that electronic agreements, notices, disclosures, signatures, records, and communications satisfy any legal requirement that such communications be in writing.

21. Consumer and Regional Rights

If you reside in a jurisdiction that grants non-waivable consumer, privacy, platform, cancellation, warranty, or digital-service rights, nothing in these Terms limits those rights to the extent such limitation is prohibited by law.

Some Services may be distributed through app stores or platforms that provide additional consumer rights or dispute options.

22. Miscellaneous

These Terms, together with the Privacy Policy and any applicable supplemental terms, form the entire agreement between you and us regarding the Services.

If any provision is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without our prior written permission. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, financing, or transfer of assets.
